will this memory work in a asrock n68c-s vcc socket am2+ motherboard with a amd athlon 64 dual core 4000+ processor

This motherboard supports DDR3 memory up to 8GB at 1333mhz, however you need to have an AM3 socket CPU installed into the motherboard for this to be supported. You would need to upgrade your CPU to allow DDR3 memory to be used on the board.
